User Agreement
Welcome to StockMeds – a digital platform designed to support the exchange of prescription medications between licensed pharmacies and authorized sellers.
This User Agreement (“Agreement”) governs your access to and use of StockMeds.com (the “Website”), operated by StockMeds Inc. (“StockMeds”, “we”, “us”, or “our”). By registering for an account or using our services, you acknowledge that you’ve read, understood, and agree to the terms of this Agreement and our Privacy Policy. If you do not agree, do not access or use the Website or any associated services.
1. Platform Overview
StockMeds operates as a marketplace and technology provider for licensed buyers and sellers of prescription drugs. StockMeds does not hold title to any products, take possession of any items, or participate in the transfer of ownership. All transactions are strictly between independent users acting in compliance with applicable laws. StockMeds is not a trading partner under the Drug Supply Chain Security Act (DSCSA).
2. User Eligibility & Registration
To join the platform, you must:
Be a licensed U.S. pharmacy or authorized seller of prescription medications.
Be at least 18 years old and legally capable of entering into binding agreements.
Maintain a valid state pharmacy license, DEA registration (if applicable), and all necessary accreditations.
Registration Requirements:
You must provide:
Legal business and pharmacy names
State license and expiration
DEA, NCPDP numbers
Valid email and contact information
Proof of banking (voided check or bank letter)
Government-issued ID of the owner or responsible party
Storefront and interior pharmacy photos
You must notify StockMeds within 5 business days of any change to licensing or accreditation status. StockMeds reserves the right to suspend or revoke access at its sole discretion.
3. Marketplace Rules
3.1. Posting Inventory (Sellers)
Sellers may list non-expired, non-controlled prescription medications for purchase. Each listing must include:
NDC, lot number, expiration date, and quantity
Condition and storage compliance
Proof of origin in line with DSCSA requirements
Sellers must ensure the product:
Was purchased legally (not under 340B or discount programs)
Is not part of a limited distribution system
Is stored per manufacturer guidelines
Sellers are required to provide DSCSA pedigree documentation (Transaction History, Transaction Information, and Transaction Statement) within 48 hours upon request by StockMeds, the buyer, or regulatory entities.
StockMeds may impose quantity limits, especially for high-risk, oncology, or specialty products.
3.2. Buying Products (Buyers)
Buyers must:
Purchase in accordance with state and federal laws
Represent that each transaction is made for a legitimate patient need or health emergency
Confirm receipt of each order through the platform within 2 business days of delivery
Buyers also represent and warrant that:
Products will be used in compliance with state and federal law
All received documentation will be retained as required under DSCSA
3.3. Pricing Standards
While StockMeds allows sellers to set their own prices, all listings must reflect market reality and not violate applicable laws. StockMeds may reject or flag pricing that appears abusive, misleading, or in breach of WAC/AWP norms.
4. Payments, Shipping & Order Fulfillment
4.1. Payments
StockMeds uses Stripe as its third-party payment processor to handle transactions. By using the platform, you authorize StockMeds and Stripe to:
Debit payment from your designated bank account upon order confirmation by the seller.
Process payments covering product price, shipping, and platform fees.
Access limited financial account information (e.g., bank name, account type, and available balance) in accordance with our Privacy Policy and Stripe’s Financial Connections system, solely for payment processing and to confirm funds availability.
StockMeds does not store your full bank credentials.
Orders over $20,000 may require wire transfer or delayed shipment until funds are cleared. StockMeds is not liable for payment processing failures, chargebacks, or bank holds.
4.2. Shipping & Risk of Loss
Sellers are responsible for properly packaging and shipping all items. Title and risk remain with the seller until delivery is confirmed by the buyer through the platform. Frozen or refrigerated items must be shipped using overnight service and proper handling, Monday through Thursday only.
4.3. Delivery Confirmation
Buyers must confirm receipt or report discrepancies within 2 business days of delivery. If no action is taken, the order will be auto-confirmed, and funds released to the seller.
5. Cancellations, Returns & Disputes
5.1. Cancellations
Sellers must only post products that are available for immediate sale. If a seller fails to ship as promised, StockMeds may cancel the order and apply a cancellation fee.
5.2. Returns
Returns are generally not permitted unless:
The product arrives damaged
The wrong item is received
The product violates posted terms
In such cases, StockMeds will issue a return label and coordinate resolution. Refunds will be processed within 10 business days of confirmed return.
5.3. Dispute Resolution
Disputes must be reported to StockMeds within 2 business days of delivery. StockMeds will mediate between the parties and its decision shall be final and binding. Unresolved disputes may proceed to binding arbitration.
6. Prohibited Items and Listing Restrictions
To maintain regulatory compliance and platform integrity, the following items are strictly prohibited:
6.1. Controlled Substances
Schedule I–V controlled substances under the CSA (e.g., narcotics, benzodiazepines, stimulants).
6.2. Expired Medications
Products expired or within 60 days of expiration.
6.3. Non-FDA Approved Products
Only FDA-approved items with valid NDCs.
6.4. Recalled, Quarantined, or Adulterated Products
No recalled, adulterated, counterfeit, or suspect items.
6.5. Additional Prohibited Categories
Items acquired through 340B or government discount programs
Limited distribution drugs requiring manufacturer pre-approval
More than one partial/unsealed item of the same NDC within 90 days
Items repackaged outside manufacturer-authorized facilities
6.6. Compliance Declaration (Seller)
By listing, sellers certify items meet FDA/DSCSA standards, are legally acquired, not controlled, and documentation is available within 48 hours.
6.7. Enforcement and Penalties
Violations may result in listing removal, account suspension, fines, deductions, or regulatory reporting.
7. Fees
10% transaction fee from seller payouts
Cancellation: 10% of order value (max $25)
NSF fee: $25 per failed ACH transaction
Noncompliance with DSCSA documentation: $100 penalty
StockMeds may adjust its fee schedule with 15 days’ written notice.
8. Limitation of Liability
StockMeds provides the platform “as-is” and disclaims all warranties. We are not liable for:
Buyer/seller performance
Product compliance or quality
Indirect or consequential damages
Maximum liability shall not exceed the lesser of $500 or the total transaction fees paid by you to StockMeds in the past 6 months.
StockMeds does not directly store or control bank account data. All financial data connections are handled by Stripe via secure APIs. Our liability with respect to financial data access is limited to the extent permitted by law.
9. Indemnification
Users agree to indemnify and hold harmless StockMeds, its affiliates, and employees from any claims, costs, losses, or investigations arising from your use of the platform, product listings, or regulatory violations.
10. Termination & Modifications
StockMeds may suspend or terminate accounts for violations. This Agreement may be updated at any time. Continued use of the platform constitutes acceptance of this Agreement and the Privacy Policy. If you do not agree to changes, you must stop using the platform and request account closure.
11. Privacy & Data Use
Your use of the platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your information, including business credentials, transaction data, and limited financial information accessed through Stripe. By agreeing to this Agreement, you also acknowledge and agree to the terms of our Privacy Policy.
